Terms of Service

1. Acceptance of Terms

By accessing or using the Okto platform ("Service"), including the managed cloud service at oktolabs.ai, you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

OktoLabs provides a source-available platform for designing, testing, and deploying AI agent workflows. The flagship product is Okto Pulse — a local-first, spec-driven project board with native MCP support. The self-hosted source-available version is licensed under Elastic License 2.0. Optional managed services (if offered) are subject to these Terms.

3. Source-Available vs. Managed Service

The source-available components of Okto Pulse are licensed under Elastic License 2.0 and can be self-hosted. These Terms apply to any managed services provided by OktoLabs. Self-hosted deployments are governed by the source-available license only.

4. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to systems
• Generate content that is illegal, harmful, or violates third-party rights
• Reverse engineer the managed service infrastructure
• Resell access to the managed service without authorization

6. Billing and Payments

Paid plans are billed monthly or annually as specified at the time of purchase. Prices are subject to change with 30 days notice. Refunds are available within 14 days of the initial purchase. Overages are billed at the rates specified in your plan.

7. Data Ownership

You retain all rights to your data, including workflows, configurations, and execution results. OktoLabs does not claim ownership of your content. You can export your data at any time in standard formats.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Enterprise plans include SLA guarantees as specified in your agreement. We will provide reasonable notice before planned maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKTOLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amounts paid by you in the twelve months preceding the claim.

10. Termination

Either party may terminate these Terms at any time. Upon termination, you can export your data within 30 days. After 30 days, we may delete your data from our systems. Sections that by their nature should survive termination will survive.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
